Well the company ultimately had a modest exit, which meant my loan was underwater. Brutal. I made nothing from the shares the 3rd party helped exercise. I forfeited the shares I had early exercised to them too. But the real kicker. I was left with a big IRS tax bill. Why?

So how was this structured? A 3rd party covered the cost to exercise and taxes. In exchange, they would get a portion of future proceeds + held the shares I early exercised as collateral. I wouldn't have to pay them back even if the company went under.
